1. Overview

CryptoComply is a software-as-a-service platform providing AI and rule-based compliance tools for onboarding, monitoring, and due diligence related to wallets, counterparties, and third parties in the digital asset space.

2. Services

The platform offers wallet screening and re-screening, counterparty monitoring, adverse media and sanctions alerts, AI-generated compliance summaries, risk scores, documented decision tracking, and configurable thresholds. The company reserves modification or discontinuation rights.

3. User Responsibilities

Users must comply with applicable laws, refrain from illegal activity, and understand that CryptoComply supports but doesn't replace legal counsel. Users bear sole responsibility for input data accuracy, and the company disclaims liability for inaccuracies or outdated information.

4. Account Access and Security

Users must maintain credential confidentiality and report unauthorized access promptly. The company bears no liability for losses from credential mismanagement.

5. Data and Privacy

User data ownership is retained while granting the company a non-exclusive license for service delivery. Third-party data sources may be incomplete or outdated.

6. Disclaimers

The platform makes no warranties regarding reliability or accuracy. Services are informational and advisory. The company doesn't provide legal, tax, or regulatory advice and isn't responsible for third-party data errors, regulatory changes, or service disruptions.

7. Limitation of Liability

The company and Canaria Consulting, LLC disclaim indirect or consequential damages. Liability caps at amounts paid within the preceding 12 months.

8. Intellectual Property

All platform intellectual property belongs to Canaria Consulting, LLC. Users receive limited, non-exclusive, non-transferable licenses.

9. Suspension and Termination

The company may suspend or terminate access for Terms breaches, security threats, or legal requirements. No refunds apply to unused subscription portions.

10. Modifications to Terms

The company may update Terms with material change notification. Continued use constitutes acceptance.

11. Governing Law and Disputes

California law governs these Terms. Disputes resolve in San Diego's state or federal courts.

12. Export Control and Sanctions Compliance

Users represent they aren't in sanctioned jurisdictions, on restricted party lists, or facilitating sanctioned transactions. Users comply with U.S. export controls and applicable sanctions laws.

13. Acceptable Use and Usage Restrictions

Users cannot reverse engineer the platform, build competing services, use automated access systems excessively, interfere with operations, upload malicious code, or violate AML/CTF/privacy laws.
